This Film Submission Agreement (“Agreement”) is entered into by and between the undersigned filmmaker or authorized representative (“Licensor”) and TRANSHUMANISTS AFRICA AI SHORT FILM FESTIVAL (TA-AISFF) (“Licensee”);
1. Grant of Rights Licensor grants Licensee a nonexclusive, worldwide, royalty-free license to exhibit, screen, and promote the submitted film and its information (“Submission”) as part of TA-AISFF (“Festival”). Additionally, Licensee shall have the right to non exclusively exhibit the Submission on its official social media platforms for a period of one (1) year from the date of initial submission. “Film Information” shall include the photographs, images, and recordings of, and the names, likenesses, and biographical and other information relating to the Film’s director(s), cast, and Licensor(s), as well as the Film’s Title (as that term is defined below) and all information submitted as part of the official Festival “submission agreement” and “Film Information Form;”
2. Personal Release Licensor represents and warrants that they are the sole creator or authorized representative of the Submission. Licensor grants Licensee the right to use their name, likeness, and biography in connection with the promotion of the Festival and the Submission without additional compensation.
3. Indemnification Licensor agrees to indemnify, defend, and hold harmless Licensee, its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney fees) arising from third-party claims related to copyright infringement, trademark disputes, defamation, privacy violations, or any other legal issues arising from the Submission.
4. No Obligation to Exhibit Licensee is under no obligation to exhibit or screen the Submission at the Festival or on its platforms.
5. Representations and Warranties Licensor represents and warrants that:
They have the full legal right and authority to submit the Submission and grant the rights contained in this Agreement.
The Submission does not infringe any third-party rights.
All necessary permissions, releases, and clearances have been obtained for any third-party content included in the Submission.
6. Governing Law This Agreement shall be governed by and construed in accordance with the laws of New York State, USA.
7. Entire Agreement This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings, whether written or oral;
